Terms of Service

Acceptance of Terms

By accessing and using the services provided by EQNX.dev ("we," "our," or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.

These terms apply to all visitors, clients, and anyone who accesses or uses our services, including our website at eqnx.dev.

Services

EQNX.dev provides digital solutions including, but not limited to:

• Full-stack web development
• Digital marketing and online advertising
• Search engine optimization (SEO)
• Landing page design and development
• Custom web application development
• Enterprise backend systems and internal tools

The specific scope, deliverables, and timeline of each project will be defined in a separate project agreement or proposal mutually agreed upon by both parties.

Project Engagement

All project engagements begin with a signed proposal or written agreement that outlines:

• Scope of work and deliverables
• Project timeline and milestones
• Pricing and payment schedule
• Revision and change request policies

Work will commence only after the agreement is signed and the initial payment (if applicable) has been received. Any changes to the agreed scope may result in adjustments to the timeline and cost.

Payment Terms

Payment terms are specified in each project agreement. Unless otherwise agreed:

• An upfront deposit is required before work commences
• Progress payments may be tied to specific milestones
• Final payment is due upon project completion and delivery
• Invoices are payable within 15 days of issuance

Late payments may incur additional charges and may result in suspension of services until outstanding balances are settled. All fees are non-refundable unless otherwise stated in the project agreement.

Intellectual Property

Upon full payment, ownership of the final deliverables (source code, designs, and assets created specifically for your project) transfers to you, the client. This transfer excludes:

• Pre-existing IP: Any tools, frameworks, libraries, or code that we owned prior to or independently from the project.
• Third-party assets: Open-source software, licensed fonts, stock imagery, and other third-party materials, which remain subject to their respective licenses.
• Reusable components: Generic, non-client-specific code patterns and utilities that we may reuse across projects.

We reserve the right to showcase the completed project in our portfolio and marketing materials unless a non-disclosure agreement (NDA) is in place.

Client Responsibilities

To ensure successful project delivery, clients agree to:

• Provide timely feedback and approvals at each project phase
• Supply all necessary content, assets, and access credentials as required
• Designate a primary point of contact for project communications
• Review and test deliverables within the agreed review periods

Delays caused by late client responses may affect the project timeline and are not the responsibility of EQNX.dev.

Revisions & Changes

Each project agreement specifies the number of revision rounds included. Additional revisions or scope changes beyond the agreed terms will be quoted separately and require written approval before implementation.

Major changes to the project scope after work has commenced may require a revised proposal and adjusted timeline.

Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• We do not guarantee specific business outcomes, search rankings, conversion rates, or revenue increases.
• Services are provided "as is" and "as available" without warranties of any kind, express or implied, beyond those explicitly stated in the project agreement.
• We are not responsible for third-party service outages, platform policy changes, or algorithm updates that may affect deliverables.

Limitation of Liability

To the maximum extent permitted by law, EQNX.dev shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our services.

Our total liability for any claim arising from a project shall not exceed the total fees paid by the client for that specific project.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of a project. This includes business strategies, technical specifications, user data, and any materials marked as confidential.

This obligation survives the termination of the engagement and remains in effect for a period of two (2) years, unless a separate NDA specifies otherwise.

Termination

Either party may terminate a project engagement with written notice. In the event of termination:

• The client is responsible for payment of all work completed up to the termination date
• All completed deliverables will be transferred to the client upon payment
• Any pre-paid fees for undelivered work will be refunded on a pro-rata basis, less any costs incurred

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Kingdom of Thailand. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through the courts of competent jurisdiction in Thailand.

Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the revised terms.
